ARTICLE 1: Section 1: This organization shall be known as the TWRC (Telephone Worker’s Retiree Club). In 2006 this was change to TWRCMA (Telephone Worker’s Retiree Club of Massachusetts) web page https://www.twrcma.com/
Section 2: The purpose of this club shall be to carry out the spirit of the Brotherhood; to aid and assist each other as necessary, and to promote the Health, Social, and Economic Welfare of its members.
Section 3: Nothing contained in these By-Laws shall be interpreted or applied in any manner which is inconsistent with the By-Laws of an IBEW Local Union's the IBEW constitution.
Section 4: The sponsoring Local Unions shall not maintain supervision over club transactions. Therefore the club shall be self contain standing on its own, financially supporting itself though donations and dues.
ARTICLE II: Section 1: The membership shall consist of any IBEW Retired member and/or spouse, widow or sufficient other whether receiving pension or not.
Section 2: Associate members. Any IBEW member who is 45 years of age or older and/or spouse, widow or sufficient other with voice but without voting privileges.
ARTICLE III: Section 1: The officers of this club shall be (1) President, (2) Vice President, (3) Secretary-Treasurer, (4) Sergeant At Arms, and (5) an Executive Board. Officers of the club may attend Executive Board meeting with voice but without voting rights Section 2: The terms of all officers shall be for two (2) years, or until their successors are qualified. Section 3: The President shall preside over all general membership meetings. Section 4: The Vice President shall assist the President in the discharge of his/her duties, and shall assume the duties of the President in case of absence or disability of the President.
Section 5: The Secretary-Treasurer shall keep accurate minutes of each meeting, receive all donations, and keep accurate records thereof. He/she shall promptly deposit all sums of money in a bank approved by the Executive Board. Section 6: The Sergeant At Arms shall act under the direction of the President at all general membership meetings, and shall assist in maintaining order. Section 7: (A) The Executive Board shall consist of five or 9 members, who shall elect their own Chairman. The Secretary of the Club shall act as Secretary of the Executive Board, with voice but not vote. (B) The Executive Board shall meet at least once a month or at the call of the President or Chairman of the Board. (C) A quorum of the Board shall consist of a majority of its members. (D) In case of a vacancy in any office, such vacancy shall be filled by the Executive Board. In case of the failure of any officer to perform his/her assigned duties, such office shall be declared vacant by the President or Chairman and the vacancy filled by the board until the next regular election.
ARTICLE IV: The nomination of officers shall be held at the first meeting of the Club of election years, and the election shall be held, by secret ballot, at the first meeting in which the officers taking their places forthwith.
ARTICLE V: The dues to this club shall be ( $30.00 ) per year. However, no retired member shall be barred from attending the meetings of the club due to inability to contribute. As of 2019 the dues change to $35.00 for one member and $45.00 FOR TO MEMBERS IN SAME HOUSEHOLD. ARTICLE VI: Section 1: Meetings of the club shall be held quarterly as agreed upon by the membership. Section 2: Special meetings may be called by the President or the Executive Board. Not less than three (3) days written notice shall be given to all members prior to a special meeting.
Section 3: 5 members shall constitute a Quorum for a regular meeting.
ARTICLE VII: No officer of this club shall be paid any salary or emoluments whatsoever. However, the Secretary- Treasurer shall be reimbursed for any expenditures for supplies, upon approval of the membership or the Executive Board.
ARTICLE VIII: All proceedings shall be governed by Robert's Rules of Order.
ARTICLE IX: The membership meeting shall never be used for any type of political campaigning. These are informational meetings for members.
ARTICLE X: These By-Laws may be amended or changed by any such proposal not in conflict with ARTICLE I, Section 3 above, being submitted at Executive Board meetings and voted on by at least five (5) members of Executive Board, read at one meeting and acted upon at the succeeding meeting. ARTICLE VII & ARTICLE IX can never be changed or alter in anyway.
